These Terms of Service ("Terms") govern your access to and use of Awarely Growth Engine (the "Service"), provided by Awarely Co. ("Awarely," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you are authorized to accept these Terms for that business, and "you" refers to that business.
The Service
Awarely Growth Engine is a financial intelligence platform for small businesses. It brings together data from the payment processors, financial platforms, and reports a business already relies on and unifies it into a single view of business performance. From that foundation, the Service identifies where revenue comes from, where it is lost, and which actions will have the greatest financial impact, with tailored strategies to strengthen customer relationships, position products, and improve operational efficiency.
The Service accesses connected accounts on a read-only basis. Awarely cannot move funds, initiate transactions, or modify data in any connected system. We continue to expand the platforms the Service supports and may add, change, or discontinue functionality over time.
Accounts
To use the Service, you must be at least 18 years old and provide accurate, current account information. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Please notify us promptly at [email protected] if you believe your account has been accessed without authorization.
Your Data
You retain ownership of the data you make available to the Service, including data from connected accounts, uploaded reports, and information you provide while using the Service ("Customer Data"). You grant Awarely a limited right to access and process Customer Data solely to provide, maintain, secure, and support the Service for you.
You are responsible for ensuring you have the rights and permissions needed to connect your accounts and share Customer Data with us, including any personal information about your customers. You may disconnect a data source, delete uploaded reports, or close your account at any time. Our Privacy Policy describes how we collect, use, and protect personal information.
Insights and Recommendations
The Service delivers analysis, projections, and recommendations based on the data available to it. Their accuracy depends on the completeness and quality of that data, and they are intended to inform your decisions rather than guarantee specific outcomes. The Service does not provide financial, tax, legal, or accounting advice. You remain responsible for evaluating recommendations and for the business decisions you make.
Acceptable Use
You agree not to:
- use the Service in violation of any law or to harm others;
- connect accounts or share data you are not authorized to use;
- attempt to access another customer's data or interfere with the security or operation of the Service;
- copy, reverse engineer, resell, or sublicense the Service without our written consent; or
- use the Service to develop a competing product.
Fees and Billing
Applicable plans, fees, and billing terms are presented at sign-up. We will provide advance notice of any pricing change. You may cancel at any time, and cancellation takes effect at the end of your current billing period.
Intellectual Property
Awarely owns all rights in the Service, including its software, design, and brand. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes. The insights generated from your Customer Data are yours to use. If you choose to share feedback, we may use it to improve the Service without obligation to you.
Third-Party Platforms
Connected platforms, such as Stripe and Square, are operated by third parties under their own terms. Awarely is not responsible for those platforms, including changes or interruptions that affect the data available to the Service.
Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, Awarely will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us during the 12 months preceding the claim. Some jurisdictions do not permit these limitations, so they may not apply to you.
Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if your use presents a risk to the Service or others, or if we discontinue the Service, and we will provide notice where reasonably possible. Upon termination, Customer Data is deleted as described in our Privacy Policy. Provisions that by their nature should survive termination, including those relating to ownership, disclaimers, and limitation of liability, will remain in effect.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or within the Service before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. We encourage you to contact us first so we can try to resolve any concern informally. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware. If any provision is found unenforceable, the remaining provisions will remain in effect.
